Tantalizers Shareholders Approve Tade Ogidans Appointment as Director

Shareholders of Tantalizers Plc have approved the appointment of Tade Ogidan as a new director, marking a key leadership update for the company during its 28th Annual General Meeting held virtually on July 16, 2026. The meeting, conducted in compliance with corporate governance standards, saw shareholders ratify the company’s audited financial statements for the year ended December 31, 2025, along with reports from the directors, external auditors, and the statutory audit committee. This approval reflects ongoing transparency and accountability in Tantalizers’ financial reporting and governance practices.

In addition to Ogidan’s appointment, the shareholders re-elected Bose Ayeni, Bamidele Oke, and Israel Ovirih to the board following their retirement by rotation, ensuring continuity in leadership. The board was also granted authority to determine the remuneration of the external auditors for the 2026 financial year, as well as the remuneration of non-executive directors for the year ending December 31, 2026. These decisions underscore the company’s commitment to structured and fair compensation frameworks aligned with regulatory requirements.

The meeting also acknowledged the company’s compliance with Section 257 of the Companies and Allied Matters Act 2020, which mandates the disclosure of remuneration paid to managers. This transparency measure strengthens investor confidence and reinforces Tantalizers’ adherence to Nigeria’s corporate governance laws. Furthermore, the company constituted a new Statutory Audit Committee to oversee financial reporting, internal controls, and external auditor engagement.

Bode Akinboye and Bose Ayeni will serve as non-executive directors on the committee, while Peter Eyanuku, Babatunde Elekede, and Abayomi Adebayo were appointed as shareholders’ representatives. This balanced composition ensures both board and shareholder interests are represented in financial oversight. Shareholders also renewed the general mandate allowing Tantalizers to conduct recurring transactions with related parties, provided such dealings are necessary for normal business operations and meet disclosure and governance standards.

The resolutions adopted at the meeting maintain key board members while integrating new leadership through Ogidan’s appointment, signaling a strategic shift in the company’s direction. The announcement was made in a regulatory filing dated July 20, signed by Company Secretary Olamide Babawale-Mo, confirming the formal adoption of all decisions. As Tantalizers continues to reposition its operations and corporate strategy, these governance updates position the company for sustained growth and enhanced stakeholder trust.
