Shareholders of Trans-Nationwide Express Plc (TRANEX) have approved the re-election of two directors and renewed the appointment of Baker Tilly Nigeria as the company’s external auditor following the conclusion of its 33rd Annual General Meeting held virtually on June 3, 2026. The meeting, which commenced at 11:00 a.m., saw shareholders adopt the audited financial statements for the year ended December 31, 2025, along with reports from the directors, auditors, and statutory audit committee. The resolutions were officially communicated in a statement issued by the company’s secretary, Cautious Services Limited.
Mr. Sulaiman A. Adedokun and Mr. Adebayo A. Adeleke, who retired by rotation in line with corporate governance rules, were re-elected to the board. Their reappointment ensures continuity in leadership as TRANEX continues to expand its footprint in Nigeria’s logistics and courier services sector. The board’s stability is seen as crucial for maintaining strategic momentum and operational efficiency across the company’s nationwide operations.
Shareholders also approved the reappointment of Baker Tilly Nigeria as the external auditor for the 2026 financial year. The board was granted authority to determine the auditors’ fees, reflecting a structured approach to financial oversight. This decision aligns with the Companies and Allied Matters Act 2020, which mandates robust audit practices to safeguard corporate integrity.
In compliance with the same act, shareholders elected three representatives to serve on the Statutory Audit Committee: Mr. Oluwaseun Babajide Olukoya, Mr. Olusegun David Oguntoye, and Mr. Chuks Nwosa Osadinizu. The board nominated two additional members: Dr. Olusegun Isaiah Adeoye and Mr. Adegoke Johnson Olasoko. The committee’s role is vital in monitoring financial reporting, internal controls, and audit processes to uphold transparency and accountability.
Under the special business segment, shareholders approved a remuneration of N430,000 for each non-executive director for the 2026 financial year. This compensation package reflects shareholder confidence in the governance framework while ensuring board responsibilities are appropriately rewarded.
